The module examines the major aspects of corporate law in the United Kingdom with the exception of general insolvency. It will begin with the history and development of modern company law and then briefly deal with the formation and constitution of companies. It will then consider legal personality, primary liability for torts and wrongs and the rules relating to corporate contracts. After examining some aspects of share capital and shares, the module will examine corporate control, involving the duties and liabilities of directors, the powers of the majority and the protection of minority shareholders. At the end of the module the student should demonstrate knowledge and understanding of the issues covered, apply that knowledge to reasonably complex situations and provide reasoning and analysis. They should also be able to bring together and present coherently materials from all sources which deal with the issues addressed.

By the end of the module the student should be able to:
