This module explores the key theoretical and doctrinal foundations of modern commercial law. It offers a thorough grounding in the key subject areas that make up this diverse field of study. At a theoretical level, subjects include, among others, the underlying principles of commercial law, a topical example of which is the role of “good faith” in commercial law and the nature of property rights. At a doctrinal level, subjects covered include domestic agency, domestic sale of goods (in particular the Sale of Goods Act regime) and retention of title, international sale of goods (contract type and conformity of documents and goods) and the financing of international trade (autonomy and letters of credit).
Learning Outcomes
By the end of the module students should be able to:
demonstrate a clear understanding of the underlying principles and key subject areas that make up the field of “commercial law”
analyse legal problems in a range of different scenarios (e.g. in agency and sale of goods) and offer practical solutions on the facts
evaluate the overall coherence of the law within the subjects studied as developed through case law and questioned through academic analysis
develop commercial awareness through study of the legal principles to which it relates
