Description The aim of all organisations is to survive and succeed. Companies strive for growth and sustainable long-term profitability, while public sector and other not-for-profit organisations aim for effective and efficient delivery of services. Organisations can be complex networks of people and resources spread across numerous locations, but they are ultimately only as good as the people who provide leadership and direction. The board of directors fulfuls this and a number of other roles and is accountable to a wide range of stakeholders for the activities of the organisation. This module examines the role of an effective director and explains how the collective and individual performance of the board can be improved within a global context. The module will also receive, and respond to, guest contributions from members of the Institute of Directors.
Learning Outcomes

By the end of the module the student will be able to:

  • define and evaluate the role of the corporation and the board;
  • critically contrast the alternative types of board structures across the world;
  • identify and explain the legal duties and liabilities of non-executive directors;
  • critically assess the role of the Chairman and non-executive directors;
  • critically evaluate the scope of activities undertaken by key board committees;
  • demonstrate effective critical analysis skills in relation to case studies - particularly in relation to cases where conflict and ethical dilemmas need resolving.
