Description
This module aims to provide an understanding of the evolution of corporate governance including international developments in corporate governance, with a particular emphasis on the main theory and case studies on corporate governance. The module also the main determinants of board structures e.g. board size and independence; board sub-committees and executive The module will also look at some of the international regulatory aspects of corporate governance mechanisms and at the impact of various guidelines and codes on shareholder activism, including recent developments in board structure following on from the global financial crisis.
Learning Outcomes
By the end of the module students should be able to:
Critically understand the key theoretical models of corporate governance;
Discuss the relationship between corporate ownership and control across the world;
Analyse the current developments in corporate governance codes and regulations in an international context;
Critically review the debate and empirical models of executive compensation;
Analyse comparative cases and empirical models of board structure and directors and CEOs’ characteristics including the debate on board diversity
