Company law development; forms of business organization; corporate personality and limited liability; the corporate constitution; corporate transactions; shares and shareholders; directors' powers and duties; shareholder remedies. While the main focus of the course will be on the UK, comparative and international/EU regulatory solutions will be also discussed. Where relevant, the extent to which UK law has been used as a template for reception by other countries or international practice will be pointed out.
