This module examines the law and practice relating to International Mergers & Acquisitions – a main area of legal practice for international law firms in Dubai, London and across the main financial centres of the world. Additionally, the module will introduce students to key skills required for this area of legal practice, such as client interviewing, legal writing, drafting and negotiating legal documents. The main areas covered in this module will be:
Transaction structures – shares sales, asset sales and mergers;
Letters of intent;
Confidentiality agreements;
Governing Law;
International merger control;
Due diligence;
Payment mechanisms – completion accounts and earn outs;
Share Sale and Purchase Agreements – warranties and indemnities;
Disclosure Letters;
Completion;
Asset transfers;
Private equity transactions; and
Public company takeovers.
The aim of this module is to educate students about the complexities of the law and procedure of international mergers & acquisitions legal practice, as well as introducing key practical skills needed for working in this area. The module will be focused around realistic practice-based case studies.
