Company law development; forms of business organization; corporate personality and limited liability; the corporate constitution; corporate transactions; shares and shareholders; directors' powers and duties; shareholder remedies. While the main focus of the course will be on the UK, comparative and international/EU regulatory solutions will be also discussed. In addition, the aspects of the UAE Company laws are taken into context and consideration and a comparative approach is addressed. Where relevant, the extent to which UK law has been used as a template for reception by other countries or international practice will be pointed out.
Learning Outcomes
By the end of the module students should be able to:
Show knowledge and understanding of the fundamental legal issues regarding companies’ formation and operation both in the UK and in the UAE (Dubai);
Demonstrate an understanding of the role of companies in modern society including (for example) commercial, social and environmental impacts;
Demonstrate an understanding of rules and principles governing the operation of companies and the rights and obligations of the various legal actors and stakeholders such as, for example directors, shareholders and wider stakeholders;
Apply legal rules and principles in a practical context including knowledge surrounding Dubai company law formation and practice.
