Exclusions
Description The module covers a variety of focal issues in company law and commercial dispute resolution. Company Law topics may include separate corporate personality, limited liability, directors' authority and duties, minority shareholder protection and creditor protection as well as on parent company liability in tort. Dispute resolution topics may include corporate social responsibility cases before the English courts, international commercial arbitration, and international commercial courts.

Learning Outcomes By the end of the module students should be able to:
  • Understand the substantive legal rules, principles and concepts relating to company law and the laws relating to commercial dispute resolution in England and Wales.
  • Apply a range of theoretical frameworks for conceptualising and critiquing company law and the law relating to commercial dispute resolution. 
  • Critically analyse and creatively solve complex legal problems relating to company law and commercial dispute resolution.
  • Evaluate a diverse range of legal source material and argument, such as judicial techniques of precedent, statutory interpretation, and academic commentary.
  • Interrogate relevant primary and secondary source material relating to company law and commercial dispute resolution for its authority, authenticity, and contextual effect(s).
